Terms & Conditions for DUBLAA

Welcome to www.dublaa.com (“DUBLAA PORTAL LLC”), a website that allows the suppliers (“Suppliers”) to list vehicle spare parts (“Products”) and interact with potential buyers (“Buyers”), By accessing DUBLAA, the Buyers and Suppliers (jointly “Users”) agree to comply with the following Terms and Conditions:

1. Introduction

These Terms and Conditions govern use of DUBLAA by Buyers and Suppliers.

By accessing or using DUBLAA, the Buyers and the Suppliers agree to comply with these Terms and all applicable laws.

2. Scope of Services

2.1 Listing Services: DUBLAA provides a platform for Suppliers to list and sell their Products. Sellers are responsible for ensuring that their Product listings are accurate, legal, and compliant with all relevant laws. DUBLAA acts only as a facilitator, and all risks associated with transactions between the Sellers and Buyers, as well as any services availed from third-party providers, shall be borne by the Sellers and Buyers.

2.2 Subscription Fees: Sellers pay a subscription fee to list their Products. The subscription fee is non-refundable, unless otherwise specified by DUBLAA.

2.3 Interactions Between Buyers and Suppliers: Buyers and Suppliers shall interact directly through DUBLAA which is a platform where Buyers can buy and Suppliers can sell Products directly. DUBLAA does not participate in the transaction, payment, or delivery process and assumes no liability for any disputes arising from such transactions. The acceptance of offers and execution of contracts are strictly between the Buyers and Suppliers. The Buyers and Suppliers are solely responsible for evaluating and completing transactions with one another.

3. Suppliers Responsibilities

3.1 Suppliers are responsible for:

3.1 Accurate Listings: All Product listings on DUBLAA must be accurate, current, and fully compliant with United Arab Emirates (UAE) local laws and regulations. Listings must be original and truthful and must not include any plagiarized content. Where required, the listings should be approved by appropriate UAE authorities. DUBLAA reserves the right to remove any listings deemed false, misleading, or in violation of these terms. Should any listing result in the DUBLAA being blocked or penalized by search engines or other authorities, the Suppliers will be held responsible, with potential account deactivation and further penalties, including legal actions.

3.2 Product Liability: Suppliers shall be solely accountable for the quality, safety and legality of the Products they provide through DUBLAA and deliver to the Buyers. The Supplier shall ensure that each Product offered via DUBLAA is accompanied with a warranty of at least 30 days from the date of sale to the Buyer. Failure to provide product warrant as per the terms hereof, may lead to account termination and penalties. Any claims or disputes concerning Product quality, under warranty replacements, non-delivery, delayed delivery, or other issues are exclusively between the Buyer and the Supplier. DUBLAA does not assume any liability for disputes arising from these transactions.

3.3 Compliance with Laws: All listings and Products must comply with the relevant local, national, and international laws, including consumer protection regulations, advertising standards, and intellectual property regulations. Sellers/users/customers are responsible for ensuring their listings comply with all legal requirements. Non-compliance may lead to account suspension or other legal consequences.

4. Buyer’s Responsibilities

4.1 Buyers are responsible for:

i. Purchasing Decisions: DUBLAA does not endorse or validate any listings on DUBLAA. Buyers should exercise caution and perform due diligence before making a purchase.

ii. Right of Action: In case of disputes regarding the product, Buyers must resolve issues directly with the Supplier. DUBLAA is not liable for product quality, safety, or delivery.

iii. Payment Commitment: Buyers must fulfil their payment obligations for any purchases initiated through DUBLAA. In the event that a Buyer fails to pay or refuses to abide by their commitment, DUBLAA holds no responsibility and will not be liable for any claims, damages, or losses suffered by the Supplier due to non-payment.

5. Prohibited Activities

5.1 Users must not:

i. Submit listings that are inaccurate, deceptive, or fraudulent.

ii. List Products that are illegal, counterfeit, or infringe on intellectual property rights.

iii. Engage in harassment, abuse, or spamming of other users or staff.

iv. Act in ways that could harm DUBLAA’s reputation or disrupt its functionality.

v. Use DUBLAA if under eighteen (18) years old.

vi. Utilize DUBLAA for illegal activities or purposes.

vii. Attempt to gain unauthorized access to DUBLAA, its servers, or any connected systems.

viii. Interfere with or damage any part of DUBLAA, its Content, or the associated infrastructure, including software and networks.

ix. Introduce malicious software, such as viruses or worms, to DUBLAA.

x. Engage in phishing, or any other activity aimed at deceiving or obtaining sensitive information from other users.

xi. Pretend to be someone else while using DUBLAA.

xii. Behave in a vulgar, offensive, or harassing manner.

xiii. Use DUBLAA to create unsolicited advertisements or spam.

xiv. Reproduce, duplicate, copy, sell, trade, or exploit any part of DUBLAA or its Content for commercial purposes.

xv. Use automated tools or manual methods to scrape DUBLAA or its Content, or to create collections or databases from DUBLAA, or to bypass any robot exclusion protocols.

xvi. Attempt to reverse-engineer, decompile, or otherwise derive the source code of DUBLAA and its Content.

DUBLAA reserves the right to remove listings and suspend or terminate user accounts at its sole discretion if any prohibited activities are identified, without assuming any liability for such actions.

6. Account Security and Responsibilities

6.1 Account Security: Users are responsible for maintaining the security and confidentiality of their account information, including their password. Any activities conducted under a user’s account are the user’s responsibility.

6.2 Unauthorized Access: Users must immediately notify DUBLAA of any unauthorized use or security breaches of their accounts. DUBLAA will not be liable for any loss or damage arising from a user's failure to secure their account.

7. Indemnity and Limitation of Liability

7.1 Indemnity: The Users agree to defend, indemnify, and hold harmless DUBLAA, along with its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers, and employees, from any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including, but not limited to, attorneys' fees) arising from:

(i) the User’s use of and access to DUBLAA; (ii) any breach of these Terms by the User; (iii) any infringement of a third party's rights, including but not limited to copyright, trademark, trade secrets, or privacy rights; (iv) any claim that the User’s content has caused harm to a third party; (v) the user’s failure to obtain the necessary consents, approvals, and permissions, and non-compliance with applicable UAE laws before or after listing their products and services on DUBLAA; (vi) the User’s non-compliance with UAE laws related to their products, including civil and criminal acts.

This obligation to defend and indemnify will remain in effect even after the termination, modification, or expiration of these Terms and the User ceasing to use DUBLAA.

7.2 Use of DUBLAA: DUBLAA provides a platform for listing and selling Products but does not guarantee the performance, quality, or legality of any products listed. DUBLAA is not responsible for any losses, damages, or disputes that arise from transactions concluded by the Users.

7.3 No Recourse Against DUBLAA: Buyers acknowledge that their right of action is exclusively against the Supplier. DUBLAA has no liability for claims related to the purchase or sale of Products, including, but not limited to, product defects, misrepresentations, payment failures, or delivery issues.

7.4 Failure to Pay: If a Buyer fails to pay or refuses to honour their commitment, DUBLAA bears no responsibility for recovering the amount owed, and the Supplier assumes all risks related to non-payment.

7.5 Indirect Losses: DUBLAA will not be liable for any indirect, incidental, or consequential damages, including loss of profits, loss of business, or reputational harm.

8. Content and Intellectual Property

8.1 User-Generated Content: By posting listings or any content on DUBLAA, Suppliers grant DUBLAA a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for DUBLAA operations. DUBLAA reserves the right to remove or modify content that breaches these terms or is otherwise inappropriate without being liable to the Supplier.

8.2 Ownership: All content provided by the Supplier remains the intellectual property of the Supplier. DUBLAA retains the right to remove content that violates intellectual property rights or is otherwise unlawful.

9. Data Protection and Privacy

9.1 DUBLAA is committed to protecting the User’s personal information. By using DUBLAA, Users agree to the collection and use of Users personal data in accordance with DUBLAA’S Privacy Policy, which complies with applicable UAE data protection laws. Users acknowledge that DUBLAA may share the User’s data with third-party service providers for operational purposes.

10. Dispute Resolution Between Buyers and the Suppliers

10.1 Buyer-Supplier Disputes: DUBLAA is not responsible for resolving disputes between buyers and Suppliers. Users must resolve any claims related to product quality, delivery, payment, or refunds directly with the other party.

10.2 Fraud and Breach of Terms: DUBLAA reserves the right to intervene in disputes, if fraudulent activity or breach of these Terms is detected.

11. DUBLAA’s Rights

11.1 Moderation: DUBLAA reserves the right to monitor, moderate, or remove any content, including product listings, that violates these Terms or applicable laws.

11.2 Service Modifications: DUBLAA reserves the right to modify or discontinue DUBLAA services at any time without prior notice and without any liability to the Users.

12. Termination of Services

12.1 DUBLAA may suspend or terminate a User’s access if they breach these Terms or engage in prohibited activities. Upon termination, Users forfeit any remaining subscription fees, and their account will be deactivated.

13. Warranties

13.1 The Users acknowledge that DUBLAA PORTAL LLC provides the platform on an "as is" basis, without any warranties about the ability of the Suppliers to sell successfully or achieve profits. For Buyers, DUBLAA does not guarantee the authenticity of Suppliers or their products and does not endorse or promote any specific sellers or their offerings. DUBLAA is not liable for any issues regarding the performance or legitimacy of listings. Users should independently verify all information and exercise caution when making transactions.

14. Governing Law and Jurisdiction

14.1 These Terms and Conditions are governed by the laws of Dubai, United Arab Emirates. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Dubai.

15. Changes to These Terms

15.1 DUBLAA reserves the right to amend these Terms and Conditions at any time. Users will be notified of any significant changes, and continued use of DUBLAA will constitute acceptance of the updated Terms.

17. Conclusion
